1. Agreement

These Terms of Service ("Terms") govern access to and use of the CheckDeskPro software platform and related services ("Service") operated by JMP Mukhi LLC ("Company," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

3. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement.

If you are using the Service on behalf of a business, organization, or entity, you represent that you have authority to bind that organization to these Terms.

4. Service Description

CheckDeskPro provides software tools designed to assist businesses with financial operations, check preparation, check printing workflows, record management, reporting, and related administrative functions.

CheckDeskPro is software only.

CheckDeskPro is not a bank, financial institution, accounting firm, law firm, tax advisor, or payment processor.

5. Customer Responsibilities

You are solely responsible for:

• All information entered into the Service
• Accuracy of checks and financial records
• Maintaining backups when appropriate
• Compliance with applicable laws
• User access management
• Protecting account credentials

The Company is not responsible for customer data entered incorrectly.

6. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials.

You must immediately notify us of any unauthorized access or suspected security incident.

We may suspend accounts that present security risks to the Service or other users.

7. Subscription Plans

CheckDeskPro may be offered through monthly or annual subscription plans.

Subscription fees are billed in advance.

Subscription pricing may change in the future upon notice to customers.

Taxes may be added where required by law.

8. Refund Policy

First-time customers are eligible for a 30-day money-back guarantee.

Refund requests must be submitted to billing@checkdeskpro.com within 30 days of the initial subscription purchase.

After the first 30 days, payments are non-refundable except where required by applicable law.

Renewal charges are generally non-refundable.

9. Cancellation

Customers may cancel subscriptions at any time.

Cancellation prevents future renewal billing.

Cancellation does not automatically generate refunds for prior billing periods.

10. Acceptable Use

You agree not to:

• Violate any law
• Upload malicious software
• Attempt unauthorized access
• Interfere with Service operations
• Reverse engineer the platform
• Use the Service for fraudulent activities
• Use the Service to create unlawful financial instruments

We reserve the right to suspend or terminate accounts violating these restrictions.

11. Intellectual Property

The Service, software, trademarks, branding, designs, documentation, and related materials are owned by JMP Mukhi LLC and protected by applicable intellectual property laws.

No ownership rights are transferred to customers.

12. Data Ownership

Customers retain ownership of data they submit to the Service.

The Company receives limited rights necessary to host, process, secure, back up, and provide the Service.

13. Support Access

Support personnel may access customer accounts only when:

• Requested by the customer
• Authorized by the account owner
• Required for troubleshooting
• Required to investigate security issues
• Required to maintain Service operations

Reasonable efforts will be made to limit access to what is necessary.

14. Availability

We strive to maintain reliable service but do not guarantee uninterrupted availability.

Maintenance, upgrades, outages, internet disruptions, and third-party failures may affect service availability.

15. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE."

To the maximum extent permitted by law, JMP Mukhi LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, JMP Mukhi LLC shall not be liable for:

• Lost profits
• Lost business opportunities
• Lost revenue
• Data loss
• Indirect damages
• Consequential damages
• Special damages
• Punitive damages

The Company's total liability shall not exceed the amount paid by the customer during the twelve months preceding the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless JMP Mukhi LLC from claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of law
• Your misuse of customer or third-party information

18. Termination

We may suspend or terminate accounts for:

• Violation of these Terms
• Fraudulent activity
• Security threats
• Non-payment
• Unlawful use of the Service

Termination does not eliminate outstanding payment obligations.

19. Governing Law

These Terms shall be governed by the laws of the State of Mississippi without regard to conflict-of-law rules.

20. Venue

Any dispute arising from these Terms or the Service shall be brought exclusively in courts located within the State of Mississippi.

21. Changes to Terms

We may update these Terms periodically.

Material changes will be communicated through the Service or by other reasonable means.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
